Annual Reports and Filings

Each Michigan Corporation must file an annual statement with the Michigan Department of State - Division of Corporations. Failure to file the annual report on a timely basis will lead to administrative dissolution of your Corporation. Although an administratively dissolved corporation can apply for reinstatement within certain time forms, reinstatement following administrative dissolution is very costly. The cost of reinstating an administratively dissolved corporation is many times as costly as the original formation of your corporation.

Annual Reports must be filed no later than May 15 of each year. No report is due however, in the year that you initially incorporate.

The report must be signed by an authorized corporate officer. It must contain (1) the name of the corporation, (2) the name of the registered agent, (3) the address of the registered office in the state, (4) the name and address of all corporate officers and directors, (5) the general nature and type of business engaged in. If you have no changes in any of this information, you may file a report that indicates no change, unless you are a professional service corporation.
