Annual Reports and Filings Each Ohio Corporation must file an annual statement with the Ohio Department of State - Division of Corporations. Failure to file the annual report on a timely basis will lead to administrative dissolution of your Corporation. Although an administratively dissolved corporation can apply for reinstatement within certain time forms, reinstatement following administrative dissolution is very costly. The cost of reinstating an administratively dissolved corporation is many times as costly as the original formation of your corporation. Ohio corporations are required to file initial and annual statements. The initial statement must be filed on or before July 1st of the year following the year of initial incorporation. Annual reports must be filed before each July 1st in subsequent years. There is a $5.00 fee for filing these statements. It is important to keep the Department of State notified of any changes in your Principal Place of Business and Registered Agent.
